📜 KWIKSHOP VENDOR / SELLER AGREEMENT

This Vendor Agreement (“Agreement”) is entered into between:

1. Nature of Relationship

1.1 KWIKSHOP operates as a technology marketplace platform connecting independent vendors with customers.

1.2 The Vendor is the seller of record for all products listed by them.

1.3 Nothing in this Agreement creates a partnership, agency, employment, or joint venture between the Vendor and KWIKSHOP.

2. Vendor Responsibilities

The Vendor agrees to:

• Provide accurate product descriptions.
• Ensure lawful sourcing and authenticity of products.
• Comply with all applicable Indian laws.
• Maintain product quality and safety standards.
• Honor pricing displayed at the time of purchase.

3. Commission & Payments

3.1 KWIKSHOP shall deduct agreed commission and applicable charges from each successful transaction.

3.2 In case of refunds, returned goods, or chargebacks, the corresponding order value (including commission adjustments) shall be reversed or adjusted against the Vendor’s settlement.

3.3 The Vendor agrees that refund-related adjustments are binding.

4. Return & Refund Policy Alignment

4.1 Vendor agrees to comply with the KWIKSHOP Refund & Return Policy.

4.2 Vendor shall be given the opportunity to review return/refund requests.

4.3 Vendor may approve or reject refund requests with valid reason within the designated time.

4.4 Failure to respond within the response window may result in platform intervention.

5. Platform Final Authority

5.1 To ensure fairness, transparency, and compliance with applicable consumer protection laws, KWIKSHOP reserves the right to make the final decision in disputes relating to:

• Return approval
• Refund approval
• Product condition verification
• Policy interpretation

5.2 The Vendor agrees that such decisions shall be final and binding.

6. Refund Execution Control

6.1 Vendors shall not independently process payment refunds outside the KWIKSHOP platform system.

6.2 Refunds approved under platform policy shall be executed by KWIKSHOP.

6.3 Vendors agree to accept refund deductions and settlement reversals resulting from approved refunds.

7. Return Verification & Logistics

7.1 Returned products shall be subject to verification.

7.2 If product condition materially differs from claimed defect, KWIKSHOP may deny refund after review.

7.3 Vendor agrees to cooperate with return logistics process.

8. Fraud & Abuse Prevention

8.1 KWIKSHOP reserves the right to investigate suspected fraud by customers or vendors.

8.2 Repeated policy violations may result in:

• Temporary suspension
• Permanent removal from platform
• Withholding of settlements pending investigation

9. Indemnification

The Vendor agrees to indemnify and hold harmless KWIKSHOP against:

• Claims arising from defective products,
• Intellectual property violations,
• Regulatory non-compliance,
• Misrepresentation of products.

10. Limitation of Liability

KWIKSHOP shall not be liable for indirect, incidental, or consequential damages arising from Vendor’s conduct, product defects, or policy violations.

11. Termination

KWIKSHOP may suspend or terminate Vendor access for:

• Policy violations,
• Fraudulent activity,
• Legal non-compliance,
• Repeated customer complaints.

12. Governing Law

This Agreement shall be governed by laws of India, including:

• Consumer Protection Act, 2019
• Information Technology Act, 2000
• E-commerce Rules, 2020

Any disputes shall be subject to jurisdiction of courts located in [Your District / State].

13. Acceptance

By registering as a Vendor on KWIKSHOP, the Vendor confirms that:
